Singapore Regional Addendum to the Pay Wallet Terms

Additional Card Services terms for customers of OKX SG Pte. Ltd.

This Singapore Regional Addendum (“SG Addendum”) supplements and forms part of the Pay Wallet Terms (“PW Terms”) and applies to you if you are (a) onboarded through OKX SG Pte. Ltd., (b) apply for or use the OKX SG Card issued by Xfers Pte. Ltd., or (c) otherwise designated as subject to Singapore regulatory framework. In the event of any inconsistency between this SG Addendum and the PW Terms, this SG Addendum will prevail to the extent of such inconsistency.

1. Service Providers & Regulation

a. Providers

i. Pay Wallet & Wallet Services: OKX SG Pte. Ltd. ("OKX SG"), a Singapore-registered entity licensed as a Major Payment Institution under the Singapore Payment Services Act 2019 (“PS Act”) for digital payment token ("DPT") and cross-border money transfer services.

ii. Card Issuer: Xfers Pte. Ltd. (UEN 201411660R) trading as StraitsX is the card issuer and Visa member responsible for card issuance, settlement and scheme compliance.

b. Regulatory Characterisation: The Pay Wallet is a custodial digital asset wallet and does not constitute a bank account, deposit account, electronic money under the PS Act, or a capital markets product. DPTs are not legal tender and are not backed by any government or central bank.

2. Liability for Loss To the maximum extent permitted by applicable law, OKX SG, StraitsX, and their affiliates will not be liable for indirect, special, incidental or consequential losses arising from your use of the Pay Wallet or the OKX SG Card ("SG Card"), including but not limited to losses arising from:

a. changes in exchange rates between authorisation and settlement,

b. network outages,

c. scheme disruptions, or

d. security breaches are not caused by gross negligence of OKX SG or StraitsX.

3. Right of Withdrawal Where permitted by law, you may have a right to withdraw from these card services within 14 calendar days of activation without giving a reason. You remain liable for settlement of any transactions authorised but not yet settled at the time of cancellation.

4. Nature of the Card & Funds

a. Prepaid Card Nature: The SG Card is a prepaid DPT-denominated Visa card. Certain merchants (e.g., car rental, hotels, automated fuel dispensers) may declinethe Card or require a credit card for security deposits.

b. Offline Transactions: The card may not function at terminals not connected to the internet (e.g., in-flight purchases, offline toll booths).

c. No Deposit Guarantee: Funds backing the Card are provided by DPTs in your Pay Wallet, not fiat held in bank accounts, and are not covered by Singapore deposit guarantee schemes.

5. Refunds and Reversals In the event a merchant initiates a refund or a transaction is reversed, DPTs will be credited to your Pay Wallet at the exchange rate applicable at the original transaction time. OKX SG and StraitsX will not be responsible nor liable to you for any loss due to rate changes between the original transaction and crediting.

6.Taxation You acknowledge that using the SG Card to spend DPTs may be a taxable event under Singapore law or other applicable jurisdictions. You are solely responsible for determining, calculating, and reporting any tax liability arising from your use of the SG Card. OKX SG and StraitsX will not withhold taxes unless required by law.

7. Data Protection and Sharing OKX SG and StraitsX process your personal data as independent data controllers for providing the card services and in compliance with applicable data protection laws. Your personal data may be shared with regulators, card schemes, service providers, and the card issuer as necessary for service provision and legal compliance.

8. Blockchain Network Risks The release of encumbered DPTs (e.g., USDG) relies on underlying blockchain network availability. OKX SG is not liable for delays due to network congestion, forks, outages, or other blockchain conditions, provided reasonable steps were taken to process your instruction.

Promotional Programmes – SG Card Rewards Programme

  1. Overview: The SG Card Rewards Programme (the “Rewards Programme”) is a promotional loyalty programme offered by OKX SG in connection with eligible SG Card spending. The Rewards Programme is administered solely by OKX SG and does not form part of the card issuing services provided by StraitsX.

    1. Participation in the Rewards Programme is subject to these Terms and any additional promotional conditions published by OKX SG from time to time.

  2. Eligibility: You may be eligible if you:

    1. are a resident permitted to receive SG Card services;

    2. have an active OKX Account, Pay Wallet, and SG Card in good standing;

    3. have completed all applicable verification and compliance requirements, such as verifying and opting-in as an Accredited Investor as defined under the Securities and Futures Act 2001; and

    4. your transactions comply with this SG Addendum and Singapore law.

    5. OKX SG may exclude specific users, accounts, or transactions for compliance, risk or abuse prevention, at its sole discretion.

  3. Eligible Transactions: Cashback may only be earned on qualifying retail purchase transactions funded by USDG.

  4. Exclusions: Cashback will not be awarded on the following categories of transactions (collectively, “Excluded Transactions”):

    1. Any unposted, cancelled, refunded, reversed or disputed transactions such as but not limited to chargebacks;

    2. Top-ups, money transfers or purchase of credits for prepaid cards, stored-value cards or e-wallets (including but not limited to GrabPay, ShopeePay, EZ-Link, TransitLink, NETS Flashpay, YouTrip or similar services);

    3. Payments in connection with government institutions or services (including court costs, fines, bail, bond payments and tax payments);

    4. Insurance premiums and related underwriting payments;

    5. Payments to educational institutions;

    6. AXS transactions;

    7. ATM transactions or quasi-cash transactions;

    8. Transactions falling within restricted or excluded Merchant Category Codes (MCCs) as determined by OKX SG and StraitsX;

    9. Transactions with descriptors including but not limited to AXS*, EZ-LINK*, NETSFLASHPAY*, PAYPAL* (where linked to financial trading or funding services), OANDA*, PLUS500*, SKRILL*, TRANSIT*, IPAYMY*, CardUp*, RazerPay*, or similar payment intermediaries;

    10. Any other transactions designated as excluded by OKX SG and StraitsX from time to time.

    11. OKX SG determines transaction eligibility based on Visa merchant category codes, transaction descriptors and internal risk assessments.

  5. Cashback Rates and VIP Tiers: Cashback rates are determined based on your OKX SG VIP tier at the time of transaction settlement.

    1. The applicable rates for Singapore are:

    2. Regular Tier: 2%

    3. VIP 1: 4%

    4. VIP 2: 4.5%

    5. VIP 3 and above: 5%

      VIP tier qualification criteria (including asset holdings, trading volume or other metrics) are determined under the OKX VIP framework and may be updated from time to time. Cashback will be calculated based on your tier at the time each transaction is settled.

  6. Monthly Cashback Caps: Cashback is subject to monthly caps based on VIP tier. For Singapore, the monthly cashback caps are:

    1. Regular Tier: 50 USDG

    2. VIP 1: 400 USDG

    3. VIP 2: 600 USDG

    4. VIP 3 and above: 800 USDG

      Monthly caps apply on a calendar month basis (UTC or such other timezone as specified by OKX SG). Once the applicable cap is reached, no further cashback will be awarded for that month. Unused monthly caps do not roll over. OKX SG reserves the right to adjust cashback caps upon notice.

  7. Subscription Rebates: During designated promotional periods, eligible SG Card holders may receive subscription rebates for selected digital services, including but not limited to:

    1. TradingView

    2. Nansen

    3. ChatGPT

    4. Claude

    5. Spotify

    6. Apple Music

    7. Netflix

    8. YouTube Premium

Subscription rebates are subject to:

a. A monthly cap of up to 20 USDG per user;

b. Verification of subscription payment using the SG Card;

c. Active card and account status;

d. Compliance and fraud screening.

Subscription rebate eligibility, duration and caps may be modified or discontinued at OKX SG’s discretion.

8. Cashback Credit & Timing: Unless otherwise stated, cashback is credited to your OKX account after settlement, subject to operational, technical, and compliance checks or delays. OKX SG may adjust, reverse or claw back cashback where:

a. A transaction is refunded, reversed or charged back;

b. The transaction is later determined to be an Excluded Transaction;

c. Abuse, gaming, artificial spend, or fraud is detected;

d. Your OKX account, Pay Wallet, or SG Card is suspended or terminated.

Cashback has no cash value and cannot be exchanged for fiat currency unless expressly permitted by OKX SG.

9. Promotional Periods: SG Rewards may include time-limited promotional bonus periods with additional terms and eligibility.

10. Programme Changes, Suspension, or Termination: OKX SG reserves the right to modify, suspend or terminate the SG Rewards Programme at any time. Changes apply prospectively unless required otherwise.

11. No Cash Value; No Investment Product: Rewards do not constitute interest, yield, e-money, a return on investment, or a regulated product and have no cash value absent express terms.

12. Taxes: You are responsible for any taxes on rewards received. OKX SG does not provide tax advice.

13. Consumer Rights: Nothing in this section limits mandatory consumer rights under Singapore law.
